By accessing or using the Ceart Digital website and any services offered by Ceart Digital Ltd ("Ceart Digital", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, clients, and anyone who accesses or uses our services.

Ceart Digital provides digital marketing, web design and development, social media management, SEO, content strategy, digital advertising, and digital asset brokerage services. The specific services provided to any client will be outlined in a separate service agreement or proposal. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

Clients agree to provide accurate, complete, and up-to-date information as required for the delivery of services. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. You agree not to use our services for any unlawful purpose or in any way that could damage, disable, or impair our operations or reputation.

All content, branding, design, code, and materials created by Ceart Digital remain the intellectual property of Ceart Digital until full payment has been received, at which point ownership transfers to the client as outlined in the relevant service agreement. Our own brand assets, including the Ceart Digital name, logo, and website content, remain exclusively our property at all times. You may not reproduce, distribute, or create derivative works from our materials without express written permission.

Payment terms are as specified in individual service agreements or proposals. Where not otherwise stated, invoices are due within 14 days of issue. We reserve the right to suspend services for accounts with outstanding balances. Late payments may incur interest at the statutory rate under the Late Payment of Commercial Debts Act. All fees are exclusive of VAT unless stated otherwise.

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the business relationship. This includes but is not limited to business strategies, client data, pricing, and technical information. This obligation of confidentiality survives the termination of any agreement between the parties. We will never sell or share your data with third parties for marketing purposes.

To the fullest extent permitted by law, Ceart Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability to you for any claim arising out of or relating to these terms or our services shall not exceed the total fees paid by you to Ceart Digital in the three months preceding the claim.

Our services may involve the use of third party platforms, tools, or services including but not limited to advertising networks, social media platforms, and analytics providers. We are not responsible for the terms, policies, or actions of these third parties. Any issues arising from third party platforms should be directed to the relevant provider. We will always aim to disclose material third party relationships.

Either party may terminate a service agreement with written notice as specified in the relevant contract. Upon termination, any outstanding fees become immediately due. We reserve the right to terminate access to our services immediately and without notice in cases of breach of these terms, fraudulent activity, or behaviour that we determine to be harmful to Ceart Digital or its clients.

These Terms of Service are governed by and construed in accordance with the laws of Ireland. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Ireland. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

We reserve the right to update or modify these Terms of Service at any time. Where changes are material, we will make reasonable efforts to notify existing clients. Your continued use of our services following any changes constitutes acceptance of the revised terms. We recommend reviewing this page periodically. These terms were last updated in 2025.
